Welcome to Quarry, LLC dba Quarry Rentals. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using the Quarry Rentals platform, you agree to comply with and be bound by these Terms.

1. Agreement to Terms

By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our platform.

2. Platform Overview

Quarry Rentals is a multi-sided marketplace platform that connects equipment rental companies ("Vendors") with customers seeking to rent or purchase equipment ("Customers"). We provide a platform for these parties to connect, but we are not a party to any agreements between Vendors and Customers.

3. Eligibility

You must meet the following requirements to use our platform:

• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal authority to enter into these Terms
• Not be prohibited from using the platform under applicable laws
• Have a valid payment method (for Customers) or valid bank account (for Vendors)

4. Account Registration

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Platform Rules

5.1 General Rules

When using our platform, you agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of others, including intellectual property rights
• Harass, abuse, or harm another person or entity
• Interfere with the proper functioning of the platform
• Attempt to gain unauthorized access to the platform or user accounts
• Use the platform for any illegal or unauthorized purpose
• Transmit any viruses, malware, or other harmful code
• Collect user information without consent

5.2 Vendor-Specific Rules

If you are a Vendor, you additionally agree to:

• Provide accurate and complete information about your equipment and services
• Set reasonable and transparent pricing for your equipment
• Maintain appropriate insurance coverage for your equipment
• Comply with all applicable safety and regulatory requirements
• Respond to Customer inquiries in a timely manner
• Honor all confirmed bookings
• Maintain equipment in good working condition

5.3 Customer-Specific Rules

If you are a Customer, you additionally agree to:

• Provide accurate information when making bookings
• Use rented equipment only for its intended purpose
• Return equipment in the same condition it was received, minus normal wear and tear
• Pay all applicable fees, including rental fees, delivery fees, and any additional charges for damages or late returns
• Follow all safety guidelines and instructions provided with the equipment

6. Bookings and Transactions

6.1 Booking Process

Customers may request to book equipment through our platform. Vendors have the ability to accept or decline booking requests. Once a Vendor accepts a booking request, a binding agreement is formed between the Customer and Vendor.

6.2 Pricing and Fees

Vendors set their own pricing for equipment rentals and sales. Quarry Rentals charges a service fee for each completed transaction. The service fee is calculated as a percentage of the total transaction amount and is displayed before confirming a booking.

All fees are non-refundable unless otherwise specified in our Refund Policy or required by law.

6.3 Payments

Customers authorize Quarry Rentals to charge their payment method for all applicable fees. Payments to Vendors will be processed according to our payment terms, typically within 3-5 business days after the rental period ends, minus our service fee.

6.4 Cancellations and Refunds

Cancellation policies vary by Vendor and are displayed on the Vendor's listing. Customers should review these policies before making a booking. Refunds are processed according to the applicable cancellation policy.

7. Reviews and Ratings

After a completed transaction, both Customers and Vendors may leave reviews and ratings. Reviews must be honest, relevant, and based on personal experience. We reserve the right to remove reviews that violate our content guidelines.

8. Intellectual Property

The platform and its content, features, and functionality are owned by Quarry Rentals and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works based on our platform or its content without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Quarry Rentals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or in connection with your use of or inability to use the platform.

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to Quarry Rentals in the twelve (12) months preceding the event giving rise to the liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quarry Rentals, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or in connection with your violation of these Terms or your use of the platform.

11. Dispute Resolution

Any disputes arising out of or relating to these Terms or the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California, and the language of the arbitration shall be English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. Termination

We may terminate or suspend your account and access to the platform at any time, without prior notice or liability, for any reason, including if you violate these Terms.

Upon termination, your right to use the platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our platform. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Quarry Rentals concerning your use of the platform.
